1. Acceptance of Terms
By accessing or using the Restronaut.ai website, software, mobile applications, and associated services (collectively, the "Services"), you agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a restaurant or business, you represent that you have the authority to bind that entity. If you do not agree, do not use our Services.
2. Description of Services
Restronaut.ai provides a Software-as-a-Service (SaaS) platform for restaurants, enabling white-labeled online ordering, loyalty program management, and customized mobile applications (the "Platform").
3. Client (Restaurant) Accounts and Responsibilities
Account Accuracy: You must provide accurate and complete information when creating a Client account and keep it updated.
Security: You are solely responsible for safeguarding your login credentials. Any activity under your account is your responsibility.
Operations: Restronaut.ai is a technology provider. We do not prepare, package, or deliver food. Clients are solely responsible for food quality, safety, allergen disclosures, fulfilling orders, and handling end-user disputes.
4. End User License Agreement:
This section applies to any individual downloading or using a Restronaut-powered mobile app.
License Grant: Restronaut.ai grants you a personal, non-exclusive, non-transferable, limited license to use our mobile applications strictly for ordering and loyalty purposes.
App Store Terms: You acknowledge that this agreement is between you and Restronaut.ai, not with Apple (App Store) or Google (Play Store). However, those entities are third-party beneficiaries of this EULA and have the right to enforce it.
Restrictions: You may not decompile, reverse engineer, or attempt to derive the source code of the applications.
5. Service Level Agreement & Support
Uptime Commitment: Restronaut.ai targets a 99.9% monthly uptime availability for its online ordering API and Merchant Dashboard, excluding scheduled maintenance.
Maintenance Windows: Routine maintenance occurs during low-traffic hours (typically 2:00 AM – 5:00 AM CST).
Support Response: We provide email support at support@restronaut.ai. We target a response time of 4 business hours for "Critical" issues (system down) and 24 business hours for general inquiries.
Sole Remedy: In the event of a significant service failure, the Client’s sole and exclusive remedy is a pro-rated credit of subscription fees for the affected period, not to exceed one month's fee.
6. SaaS Subscription and Fees
Billing: Services are billed on a subscription basis (monthly or annually). Fees are processed via third-party providers (e.g., Stripe, Square).
Non-Refundable: Subscription fees are non-refundable unless otherwise stated in writing or required by law.
Taxes: Clients are responsible for all applicable sales or use taxes associated with their subscription.
7. Intellectual Property
Restronaut.ai IP: The Platform, original content, source code, and "Restronaut" branding are owned by Restronaut.ai and protected by international copyright and trademark laws.
Client Content: Clients retain ownership of their menus, logos, and branding. You grant Restronaut.ai a worldwide, royalty-free license to use, host, and display this content solely to provide the Services.
8. Acceptable Use
You agree not to:
Process orders for illegal goods or services.
Upload malicious code or attempt to breach our security infrastructure.
Send unsolicited promotional materials (spam) through our loyalty/SMS channels without proper user consent (TCPA compliance).
9. Limitation of Liability
To the maximum extent permitted by law, Restronaut.ai shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill, arising from:
Your use of the Services.
Any failure of the platform or downtime.
Rejection of mobile apps by third-party App Stores (Apple/Google).
10. Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Texas, USA], without regard to its conflict of law provisions.
